Who needs NDA management software
Most companies do not have an NDA problem until they count them. A 60 person software company signs NDAs with prospects before a security review, with partners before an integration, with contractors on day one, with investors and acquirers during a raise, and with vendors before sharing data. That is easily 150 to 400 NDAs a year, and each one has two clocks running on it.

Two clocks
The two NDA dates most teams never track
Every NDA has a term (how long new disclosures are covered) and a survival period (how long the duty to keep earlier disclosures secret lasts after the term ends). A typical mutual NDA covers disclosures for one or two years and keeps the confidentiality duty alive for two to five years after that. Trade secrets are often protected for as long as they remain trade secrets.
Those dates matter in both directions. If the term ends while talks are still going, anything you share afterwards is not covered. If the survival period ends, the other side is free to use what you told them three years ago. And if you are the recipient, you need to know when you can stop treating a partner's material as confidential, and when you must return or destroy it.

Get NDAs signed before the first meeting
The slowest part of many deals is the first one. A prospect wants to see the roadmap, a partner wants to share API docs, a buyer wants your financials, and nothing moves until an NDA is signed. When the AE can send the company's own template from a browser and the other side signs on a phone, the NDA is done before the meeting starts instead of a week later.
Legal stays in control because the template text is locked. If the counterparty asks for changes, the edited version goes through an approval rule to whoever owns NDAs, and the clean ones never touch their inbox. How do you keep track of NDAs?
Keep every signed NDA in one repository with the counterparty, owner, effective date, term end and survival end recorded, and set reminders before each date. NDA software does this automatically for NDAs sent from a template and extracts the dates from NDAs that arrive on the other side's paper.
Do NDAs expire?
Yes, most do. An NDA usually has a term of one to three years for new disclosures and a survival period of two to five years for the confidentiality duty. Some NDAs never expire for trade secrets. Read both clauses, because the survival period is the date that actually ends protection.
What is the difference between a mutual and a one-way NDA?
A one-way NDA protects information that only one party discloses, such as a company sharing data with a contractor. A mutual NDA protects information both sides share, which is the norm for partnerships, M&A talks and enterprise sales. Keep a template for each so nobody drafts from scratch.
Can an NDA be signed electronically?
