Why MSAs and SOWs break a normal contract spreadsheet

An MSA is signed once and sets the legal terms for years: liability, payment terms, IP, confidentiality, insurance, termination. Each SOW is a short document for one project or one period of work, with its own scope, rate, dates and often a not-to-exceed amount. A single client relationship can collect one MSA, eight SOWs, three change orders and two amendments. In a spreadsheet those become fourteen rows with nothing tying them together.

That is where the expensive mistakes come from. The MSA auto-renews at the old rates while the team assumed it ended. An SOW keeps running after the MSA lapsed, so nobody can say which liability cap applies. A rate card review date passes because it sat on page 11 of an amendment.

The MSA and SOW dates that cost money when missed

Most of the risk in a services relationship sits in a handful of dates. These are the ones teams ask us to track most often.

  • MSA notice deadline. A three-year MSA that renews for one year unless either side gives 90 days' notice has a real deadline three months before the end date. Miss it and you are locked in at the old rates for another year.
  • SOW end dates. When an SOW ends and work quietly continues, you are delivering or paying without signed scope. A reminder 30 days out gives time to sign the next SOW or a change order.
  • Not-to-exceed amounts. A fixed budget on an SOW is a number, not a date, but it matters just as much. Record it on the contract and review spend against it when the reminder fires.
  • Rate reviews and price escalators. Many MSAs allow a yearly increase tied to CPI or a fixed percentage. Put the review date on the calendar so you negotiate before the new rate applies.
  • Survival and wind-down. Many MSAs say their terms keep governing any SOW still open when the MSA ends. Check your clause, and get a reminder before the MSA end date so open SOWs are not left in doubt.
  • Insurance certificates. MSAs often require proof of general liability, professional liability or cyber coverage. Track each certificate's expiry as an obligation on the MSA.

Worked example

A worked example with one MSA and four SOWs

A 40-person IT consultancy in Ohio signs an MSA with a regional bank, effective March 1, 2024, for three years, renewing for one-year terms unless either side gives 90 days' written notice. Under it sit four SOWs: a network assessment that ended in 2024, a managed services SOW running to February 28, 2027, a security project ending November 30, 2026, and a staff augmentation SOW with a $180,000 not-to-exceed amount.

How do you manage MSAs and SOWs?

Keep each MSA in one record with every SOW, change order and amendment signed under it, track the MSA's notice deadline and each SOW's end date, and assign one owner per relationship. Contract management software does this by reading the dates from the signed documents and sending reminders before each deadline.

What happens to a SOW when the MSA expires?

It depends on the MSA's survival clause. Many MSAs say their terms keep governing any SOW still in progress when the MSA ends, so the SOW runs to completion. Without that clause, open SOWs may lack the liability, IP and payment terms they relied on, which is why the MSA end date needs a reminder well ahead.

Does a SOW override an MSA?

Usually not. Most MSAs include an order of precedence clause saying the MSA controls if the two conflict, unless the SOW expressly states it changes a specific MSA term. Check that clause before agreeing to SOW language that differs from the MSA, because a conflict is decided by what the contracts say, not by the newer date.

How long does a master service agreement last?

Most MSAs run one to three years with automatic one-year renewals unless either side gives notice, often 30 to 90 days before the end date. Some have no fixed end and continue until terminated. The notice window, not the end date, is the deadline to track.

Can SOWs be signed electronically?
