Contract redlining software for teams that negotiate in Word

Negotiation still happens in Word. Your counterparty sends back a DOCX full of tracked changes, you reply with your own, and after four rounds nobody is sure which file is current or who agreed to the new indemnity wording. Agreementsoftware is contract redlining software that keeps that loop in one place: every version on the contract record, what changed between any two of them, the comments and the approvals on the clauses that moved, and your fallback positions one click away.

Precise about what we do

We do not replace Word, and we do not ask your counterparty to learn a new tool. You keep editing documents the way both sides already do. Agreementsoftware manages the versions and shows the differences.

  • Upload each counterparty DOCX as a new version of the same contract record.
  • Tracked changes inside the file are preserved exactly as the other side made them.
  • Compare any two versions and see what changed between them, clause by clause: added, deleted and reworded text.
  • Download any version to continue editing in Word, then upload your reply as the next version.

Every version stays on the record with who uploaded it and when, so the question of which file is the latest has one answer.

See what changed, not just that something changed

Counterparties do not always track every edit. A comparison between your last version and their reply shows every difference in the text, including changes made with tracking switched off. You read the changed clauses rather than the whole agreement again. For a 30 page master services agreement where the other side touched three clauses, that is the difference between reading 30 pages and reading three paragraphs.

  • Compare the current draft with the version you sent, or with your original template.
  • Jump from one changed clause to the next.
  • Keep the comparison next to the contract record, where the approvers can see it.

Comments and approvals

Discuss the change where it sits

Comments live in the thread on the contract, so the discussion about a liability cap or a payment term stays with the contract instead of in a chat channel that nobody will find next year. On Plus and above, approval rules route the contract by type and value, so a changed clause in a large deal reaches finance or legal before anyone signs. Approvers see the comparison, add their comments and approve or send it back, and each decision lands in the audit trail.

  • Approval workflows by contract type and value on Plus.
  • Multi-step and parallel approvals and conditional routing on Pro, for example security joining only when data processing terms change.
  • A full audit trail of who approved which version.

Fallback positions ready before the call

The clause library on Plus and above holds your standard clauses and your fallback positions side by side: the limitation of liability you start with, the one you accept if pushed, and the line you do not cross. When the counterparty rewrites a clause, the negotiator picks the approved fallback instead of drafting a new compromise under pressure, and the approver sees a familiar position.

From redline to signed

The last version becomes the signed contract

When both sides agree, send the final version for e-signature with a signing order and reminders. The signed PDF with its audit certificate is filed back on the same record, next to every version that led to it. AI extraction then reads the signed agreement and fills the key terms, and renewal alerts start counting. The signing step is on our electronic signature software page, and the alert logic on our contract renewal management software page.

Review before you negotiate

If you want a first read of an incoming contract before the redline starts, the extracted fields and risk notes help: an auto-renewal with a long notice period, an uncapped liability clause, a governing law you did not expect. Our ai contract review page covers that step, and our legal contract management software page shows how an in-house lawyer uses the whole loop.

Which plan fits a negotiation workflow

Version history and comparison come with every contract record. Starter at $49 per month suits a small team that negotiates occasionally and needs versions in one place. Plus at $149 per month ($74 billed yearly) adds approval workflows, the clause library with fallback positions, unlimited templates, roles and permissions per folder and the audit log, which is where most teams that negotiate every week land. Pro at $499 per month adds multi-step, parallel and conditional approvals. There is no free plan. See the full list on our contract management platform page.

Do we have to edit contracts inside Agreementsoftware?

No. You and your counterparty keep editing in Word. You upload each DOCX as a new version, and we keep the versions, show the differences and handle approvals and signature.

Are tracked changes preserved when we upload a file?

Yes. The uploaded DOCX is stored exactly as received, tracked changes included, and you can download it again at any time.

Can we see changes the other side made without tracking?

Yes. Comparing two versions shows every difference in the text, whether or not it was tracked in the file.

Which plan includes the clause library?

Plus, Pro and Enterprise include unlimited templates with the clause library, where you keep standard clauses and fallback positions.
